MINUTES OF BOARD 12-16-05 MEETING

The Board of Directors of the Ranches Academy held a meeting on:

The following directors, constituting a quorum of the full board, were present:

Stephanie Colson
Linda Tuttle
Katie Allen
Jennifer Maroney
Stacey James
Valerie Mattson

The Chair called the meeting to order.

Adoption of agenda:

The Chair made a motion that the following agenda be adopted for this meeting.

1. Discuss loan agreement for purchase of facility.
2. Discuss “Authorizing Resolution” on purchase of building.

The motion was duly made, seconded and unanimously carried, and was made a part of the records of the meeting.

Motion by the Treasurer to approve the signing of the “Authorizing Resolution” document was duly made, seconded and unanimously carried, and was made a part of the records of the meeting.

Motion by the Chair to close the meeting was duly made, seconded and unanimously carried, and was made apart of the records of the meeting.

Discussion held during the meeting:

Linda shared with the board the details of the loan agreement and discussed the “Authorizing Resolution” document. Those who needed to sign the document did after there was a vote.
