BOARD OF TRUSTEES
Governance
The Founding Families have appointed
a Board of Trustees. The following founders and one elected
parent will make up the Board of Trustees:

Elected Parent (2 year term)
• A quorum, which consists of six out
of the ten Board members, must be present to make voting decisions
on behalf of the Board of Trustees.• Board Terms – all members,
excluding the one elected parent, will always serve on the
Board of Trustees until either resignation or dismissal from
the Board. The Board of Trustees will always retain ten members.
• If any member of the Board of Trustees
is absent for two Board of Trustees Meetings within one year,
he/she may be dismissed from the Board. The following steps
must be taken in order to dismiss a Board of Trustee Member:
- The Board of Trustees will place
on the agenda of their next Board meeting that his/her dismissal
from the Board will be discussed.
- A certified letter will be sent to the Board Member notifying
him/her of the agenda item two weeks prior to the Board meeting.
- A majority, which constitutes six out ten, of the Board
of Trustees must vote in favor of a Board member’s dismissal.
• When a vacancy exists on the Board
of Trustees, due to either a dismissal or resignation, the
following steps must take place in order to vote in a new
Board member:
- The remaining Board members will
solicit letters of applications from the parent membership
(parents/grandparents/guardians) to fill the vacancy.
- A majority of the remaining Board members must be present
when interviewing potential applicants.
- The Board of Trustees will place on the agenda of their
next Board meeting the item to vote in a new Board member.
The final applicant must receive a minimum of six votes in
order to be placed on the Board of Trustees.
• When the elected parent’s two-year
term is complete, the following steps must take place in order
to place a candidate on the ballot to be voted on by the parent
membership:
- The Board of Trustees will solicit
letters of applications from the parent membership to fill
the vacancy.
- A majority of the Board members must be present when interviewing
potential applicants.
- The Board of Trustees will place on the agenda of their
next Board meeting the item to vote candidates onto the ballot.
The final candidates must receive a minimum of six votes in
order to be placed on the voting ballot.
Responsiblities
• Ensure that the School Council follows
the school’s mission and philosophy as intended by the founders.
• Exercise the right to veto any of
the School Council's decisions/policies that the Board of
Trustees deems to be contrary to the intent of The Ranches
Academy Founders and the mission and philosophy of the school.
• Approve any amendment(s) as submitted
by the School Council or the Board of Trustees to The Ranches
Academy Charter before being submitted to the State Charter
Board.
• Select and appoint the School Council’s
CAO, Treasurer, and two other council members.
• Select and approve candidates, in
conjunction with the School Council, for the three remaining
elected council seats (Vice-President, Secretary, one council
member) to be presented for elections by the parent membership
• Serve on the Hiring Committee or
School Council Development Committee as formed by The President
and Secretary when the need arises. Six members of the Board
of Trustees will serve on the committee. The two committees
will do the following:
Hiring committee
- Hire/dismiss the director/principal
in conjunction with the School Council. Faculty and Staff
will be hired/dismissed by the director/principal and School
Council. The Board of Trustees, however, exercises the right
to veto any hiring/dismissals of faculty and staff.
- Solicit letters of applications for director/principal position.
- Conduct interviews of potential applicants.
- Recommend final applicant names to the rest of the Board
of Trustees for final approval vote.
School Council Development
Committee
- Solicit applications from the parent
membership to fill any vacant appointed positions on the School
Council. Conduct interviews of potential applicants and take
their recommendations to the rest of the Board of Trustees
for a final approval vote.
- Solicit applications, in conjunction with the School Council,
from the parent membership to fill any vacant elected positions
on the School Council. The committee, in conjunction with
the School Council, will conduct interviews of potential applicants.
The committee will take their recommendations to the rest
of the Board of Trustees for a final approval vote for candidates
to be placed on the voting ballot.
